These Terms & Conditions ("Terms") govern access to the website operated by HENDOI TECHNOLOGIES PRIVATE LIMITED ("Hendoi", "we", "us") at https://www.hendoi.com, and the licensing of Hendoi desktop software products HFOIL, HENMESH, HENFLOW, and HENSTRUCT(together, the "Software"), including optional HEN-AI / HENAI assist features that call Hendoi cloud APIs. By using this website or purchasing / activating a license, you agree to these Terms.

Hendoi is a private limited company. We market and license Software and related engineering services to customers worldwide. Where a signed license agreement, quotation, invoice, or order form conflicts with these website Terms, the signed commercial document controls for that order.

2. Products covered

• HFOIL — aerospace aircraft geometry CAD (templates, parametric airframe, sections, assembly, drawings, export). Mesh and CFD analysis are not included in HFOIL.
• HENMESH — aerospace mesh preprocessor (including HEN-AI assist modes where licensed).
• HENFLOW — aeronautical / aerospace CFD workbench (including HENAI assist modes where licensed).
• HENSTRUCT — aerospace structural FEA workbench (static, dynamics, buckling, composites, fatigue, thermo-structural, aeroelasticity, margins). CAD and meshing are not included in HENSTRUCT.

Product pages describe capabilities at a high level. Exact modules, platforms, and entitlements are defined in your order. Typical suite handoff: HFOIL (geometry) → HENMESH (mesh) → HENFLOW (CFD) and/or HENSTRUCT (structural FEA).

3. Territory & governing law

We sell and support Software internationally. Unless a written agreement states otherwise, these Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in Tamil Nadu, India, shall have exclusive jurisdiction for disputes arising from website use or Software licenses, except that Hendoi may seek injunctive relief in any jurisdiction to protect intellectual property. Mandatory consumer protections in your country of residence may still apply where they cannot be waived by contract.

4. Website content

Website materials are promotional and informational — including product pages, blog posts, educational articles, and the Investors page. Features, screenshots, and roadmaps may change. Licensing and investment discussions occur via enquiry and quotation. Nothing on the site is an offer of employment, a public securities offering, investment advice, or a guarantee of specific engineering or financial results. We do not publish invented ARR or valuation figures on the website.

5. Software license grant (all countries)

Upon payment (or approved academic grant) and acceptance of a license, Hendoi grants you a limited, non-exclusive, non-transferable, non-sublicensable right to install and use the licensed Software on authorized computers, solely for your internal engineering, research, education, or personal non-commercial purposes as stated on the order, for the term and seat count purchased.

• Commercial / Company licenses — business and professional use by the licensed entity
• Academic / University licenses — teaching and non-commercial research by the named institution
• Academy / Training-centre licenses — classroom delivery by approved training providers
• Individual / Hobbyist licenses — personal non-commercial use where offered
• Evaluation / Demo licenses — time-limited evaluation without production reliance

License keys, activation, concurrent-seat rules, and update entitlements are defined in your order. You must not exceed seat counts or share credentials outside the licensed organization.

6. HEN-AI / HENAI cloud assist

Where enabled, desktop apps may call Hendoi cloud endpoints (for example /api/ai/assist) so that AI assistance (HEN-AI for HFOIL/HENMESH/HENSTRUCT, HENAI for HENFLOW) can run on Hendoi servers. OpenAI or other model providers are invoked only by Hendoi — not with your private API keys embedded in the desktop apps. Use of assist features may transmit prompts and project context you choose to send. Deterministic CAD, mesh, and solver kernels remain in the desktop Software. Assist output is advisory; you remain responsible for engineering decisions. Availability depends on license entitlements and server configuration.

7. Academy & university licensing policy

Academic and academy licenses are intended for education and non-commercial research. Unless expressly agreed in writing:

• Students and faculty may use Software only under the institution's license terms
• Commercial consulting, paid third-party design services, or OEM production work require a commercial license
• Classroom images and lab machines must remain under institutional control
• Competition teams (e.g. student UAV teams) may use academic licenses when the work is non-commercial and supervised by the institution

Institutions must keep reasonable records of seats assigned. Hendoi may audit compliance with reasonable notice.

8. Acceptable use policy

You shall not:

• Copy, modify, reverse engineer, decompile, or create derivative works of the Software except where applicable law expressly permits
• Rent, lease, lend, sell, sublicense, or publicly host the Software as a service without written permission
• Remove proprietary notices or circumvent license enforcement
• Use the Software for unlawful weapons design in violation of export, sanctions, or local criminal law
• Abuse contact or investor forms for spam, phishing, or unlawful solicitation
• Attempt to probe, overload, or misuse Hendoi APIs (including AI assist endpoints)

9. Export control & sanctions

You represent that you are not prohibited from receiving software under applicable export control or sanctions laws of India, the United States, the European Union, the United Kingdom, or your local jurisdiction. You will not export or re-export the Software contrary to such laws.

10. Intellectual property

Hendoi and its licensors retain all right, title, and interest in the Software, documentation, trademarks (including HFOIL, HENMESH, HENFLOW, HENSTRUCT, HEN-AI, HENAI, and HENDOI), and website content. No ownership transfers under these Terms — only a usage license.

11. Fees, taxes & refunds

Fees are as stated on quotations or invoices. Applicable taxes (including Indian GST where due, VAT, sales tax, or withholding) may be added. Cross-border payments may incur bank fees. Refunds, if any, follow the order document; evaluation licenses are generally non-refundable once keys are issued.

12. Support & updates

Support channels include support@hendoi.com and phone +91-9677261485. Update entitlements depend on your maintenance term. We do not guarantee uninterrupted operation or fitness for a particular aircraft certification program unless separately contracted.

13. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SOFTWARE (INCLUDING AI ASSIST OUTPUTS) ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Engineering results require professional judgment; Hendoi is not responsible for design decisions made using the Software or assist features.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HENDOI'S TOTAL LIABILITY ARISING FROM THE WEBSITE OR SOFTWARE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO HENDOI FOR THE LICENSE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. HENDOI IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES.

15. Privacy

Personal data submitted via contact forms, investor enquiries, or AI assist usage is handled as described in our Privacy Policy.

16. Investor & capital enquiries

The Investors page invites capital partners worldwide to enquire. Submitting an enquiry does not create an investment agreement, offer of securities, or confidentiality obligation unless a separate NDA or term sheet is signed. Materials shared after intro remain confidential as agreed in writing.

17. Changes

We may update these Terms by posting a revised version on this page. Continued website use after changes constitutes acceptance of the updated Terms for website use. Software licenses already purchased remain governed by the terms in force at purchase unless you renew under new terms.
